They also provide a comprehensive range of strategic advisory services for these businesses to prepare for corporate finance transactions, grooming them to optimise value and positioning them to ensure successful outcomes. As sell-side specialists their principals are personally involved with your transaction every step of the way. Their hands on approach and financial expertise ensures that you are able to realise exceptional value from your most important asset: your business.

They now seek a transaction services lead to join their team. You will report to the business’ partners. You sit between the partners and the analyst bench.

You are fully accountable for the integrity of the numbers and the discipline of the process across live mandates: financial modelling, quality-of-earnings and normalisation work, working capital and net-debt analysis, purchase-price-adjustment mechanics, data room and information-flow management, and the day-to-day choreography of getting a deal through diligence to signing.

You are also a key point of contact for buy-side advisers, lawyers and the client’s finance team.

CORE QUALIFICATIONS AND EXPERIENCE:

  • You have a minimum of 5 years’ current, relevant experience, with the bulk in the South African transactional environment and a real grasp of how deals actually get done here (SARB / exchange-control awareness, local accounting and tax overlays, the realities of the local buyer and funder universe);
  • You have a transaction services / financial due diligence background — Big 4 TS or FDD, a corporate finance / M&A advisory house, or a PE deal team;
  • You have command of the technical building blocks of a deal: EBITDA normalisation, working capital targets and seasonality, net debt and debt-like items, completion-account vs locked-box mechanics and earn-out / deferred-consideration structures;
  • You have precise, institutional-quality output;
  • You have direct, credible communication – someone who can hold a room with a CEO or a buy-side principal and not get pushed around in a negotiation;
  • You have sell-side experience specifically (most TS people are buy-side / lender-side; sell-side instinct is rarer and more valuable to the company);
  • You have exposure to legal documentation – comfort reading an SPA, tracking an issues list, and understanding how the commercial model ties to the drafting;
  • You have sector range knowledge across the mid-market rather than a single-industry specialist (excluding the mineral & resources sector & property).
